Terms & Conditions

The following terms and conditions may be incorporated into an agreement between the First Party (Employer) and the Second Party (ZOOM International Pvt. Ltd.) for the recruitment and deployment of Nepali workers. The final agreement should be reviewed and adapted to comply with the applicable laws and regulations of both countries.

1. Demand Letter and Power of Attorney

The First Party shall issue a formal Demand Letter in favor of the Second Party specifying the number of workers required, job categories, salary, working hours, place of employment, transportation, air tickets, medical facilities, insurance, accommodation, and other benefits and facilities in accordance with the applicable laws and regulations of the country of employment.

The First Party shall also provide a Power of Attorney authorizing the Second Party to recruit and facilitate the deployment of Nepali workers on behalf of the First Party, subject to the applicable laws and government procedures.

2. Government Approvals

Both parties shall obtain the necessary approvals, permits, and authorizations from their respective government authorities for the recruitment, employment, and deployment of workers.

If any provision of this agreement conflicts with the mandatory laws, regulations, or government policies applicable in either country, the relevant legal requirements shall prevail, and the conflicting provision shall be considered invalid to the extent of such conflict.

3. Interview and Selection

Workers shall be interviewed, assessed, and selected by representatives of the First Party.

Where the First Party authorizes the Second Party to conduct the recruitment or initial selection process on its behalf, ZOOM International Pvt. Ltd. shall carry out the interviews, screening, and skill assessments according to the selection criteria provided by the First Party.

4. Medical Examination

The Second Party shall ensure that selected workers undergo the required medical examination at an authorized medical institution in Nepal.

Where applicable, medical examinations shall be conducted through GCC-approved medical centers or other institutions recognized under the requirements of the destination country. Workers must obtain the required medical fitness certificate before proceeding with visa and deployment formalities.

5. Visa and Work Authorization

The First Party shall be responsible for obtaining the necessary visa, work permit, NOC, entry permit, or other employment authorization from the relevant government authorities and shall provide the Second Party with the required supporting documents.

6. Travel and Arrival Arrangements

The First Party shall be responsible for receiving the workers at the designated airport in the destination country and completing the necessary employment and residence formalities in accordance with the applicable laws.

The Second Party shall coordinate and provide the required travel and employment documents from Nepal and assist the workers with the necessary departure formalities.

7. Deployment Period

The Second Party shall make reasonable efforts to complete the recruitment and deployment of approved workers within the agreed period.

Unless otherwise agreed by both parties, deployment shall be completed within 45 days from the date of receiving the visa/NOC approval or advice and all other required documents from the First Party, subject to government processing times and other circumstances beyond the Second Party's control.

8. Compensation in Case of Death or Injury

The First Party shall be responsible for compensation arising from the death or work-related injury of an employee, where such responsibility is imposed under the applicable labor laws, insurance provisions, or employment contract of the country of employment.

Where required by law, the First Party shall also bear the applicable costs associated with the repatriation of the deceased worker's remains to Nepal.

9. Probationary Period

All workers shall be subject to a three-month probationary period, unless a different period is required or permitted by the applicable labor law or employment contract.

If, during or after the probationary period, a worker is found to be unsuitable for the position based on legitimate employment-related reasons, the employment may be terminated in accordance with applicable law and the terms of the employment contract.

Where repatriation is required due to the worker's unsuitability during the agreed probationary period, responsibility for repatriation costs shall be determined according to the applicable law and the terms agreed between the parties.

10. Recruitment and Service Fees

The First Party shall be responsible for the agreed recruitment and service fees payable to the Second Party, unless a different arrangement is mutually agreed by both parties.

Any recruitment-related costs or fees payable by workers must comply with the applicable laws, regulations, and government-approved fee structures of Nepal and the destination country.

The agreed fee structure and payment responsibilities shall be clearly stated and accepted by both parties before the recruitment process begins.

11. Mutual Cooperation

Both parties agree to cooperate in good faith throughout the recruitment and deployment process. Each party shall provide the documents, information, approvals, and assistance reasonably required to complete the recruitment process efficiently and in accordance with applicable laws.
